1. Agreement to these terms
These Terms & Conditions (“Terms”) are a binding agreement between you and Guester (“Guester”, “we”, “us”), the operator of the Guester platform, websites and related services (together, the “Services”). By creating an account, clicking “accept”, or otherwise accessing or using the Services, you confirm that you have read, understood and agree to be bound by these Terms. If you are entering into these Terms on behalf of a hotel or other organisation, you represent that you are authorised to bind that organisation.
If you do not agree to these Terms, you must not use the Services.
2. Definitions
- “Customer” the hotel or organisation that subscribes to the Services.
- “Authorised User” an individual the Customer permits to access the Services.
- “Customer Data” reservation, guest, pricing, review and operational data the Customer connects to or uploads into the Services.
- “Connected Service” a third-party system you link to Guester, such as a PMS, OTA, channel manager or review platform.
- “Subscription” the plan (Standard, Superior or Suite) and billing term you select.
3. Accounts & eligibility
Registration. You must provide accurate, current and complete information when creating an account and keep it up to date. The Services are intended for business use by hotels and hospitality professionals, not consumers.
Account security. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at info@guester.co if you suspect any unauthorised use.
Authorised Users. You are responsible for your Authorised Users’ compliance with these Terms.
4. Subscriptions, billing & renewals
Plans & fees. Fees for each plan are shown at the point of purchase and are stated exclusive of taxes unless noted. You authorise us (and our payment processor) to charge the applicable fees to your chosen payment method.
Billing terms. Subscriptions are billed in advance, monthly or annually as selected. Annual plans are offered at the discounted rate displayed at checkout.
Automatic renewal. Subscriptions renew automatically for successive terms at the then-current rate unless cancelled before the renewal date.
Price changes. We may change fees with at least 30 days’ notice before the change takes effect on your next renewal.
Cancellation. You may cancel at any time from your account or by contacting us; access continues until the end of the paid period.
Refunds. Except where required by applicable law, fees are non-refundable and partial periods are not pro-rated.
Taxes. You are responsible for all applicable taxes, levies or duties, excluding taxes on our income.
5. The Services & AI-assisted recommendations
Guester reads the signals around your hotel — guests, prices, reviews and the city outside — and turns them into briefings, suggestions and automations.
Recommendations, not decisions. Outputs such as suggested rates, drafted replies, insights and daily briefs are recommendations generated by software and AI. They may contain errors and are provided to assist, not replace, human judgement. You remain solely responsible for reviewing, approving and acting on them, and for the commercial outcomes.
Availability. We aim to keep the Services available but do not guarantee uninterrupted access, and we may perform maintenance, updates or changes from time to time.
6. Customer Data & integrations
Ownership. As between you and us, Customer Data is and remains yours. You grant us a worldwide, non-exclusive licence to host, process and use Customer Data solely to provide, secure and improve the Services for you.
Connected Services. When you link a Connected Service you authorise us to access and exchange data with it on your behalf. Your use of each Connected Service remains subject to that provider’s own terms, and you are responsible for holding the necessary rights and consents and for complying with those providers’ policies.
Personal data. Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
7. Acceptable use
You agree not to:
- misuse, disrupt or interfere with the Services or their security;
- attempt to gain unauthorised access to any system, data or account;
- reverse engineer, copy or create derivative works from the Services except as permitted by law;
- use the Services to store or transmit unlawful, infringing or harmful content;
- use the Services in breach of the policies of any Connected Service (PMS, OTAs, review sites);
- resell, sublicense or provide the Services to third parties without our written consent.
8. Intellectual property
Our IP. The Services, including all software, models, designs, text, and the Guester name and logo, are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your Subscription.
Feedback. If you send us suggestions or feedback, you grant us a perpetual, royalty-free licence to use it to improve the Services.
9. Third-party services & links
The Services may interoperate with, or link to, third-party products and websites that we do not control. We are not responsible for the content, policies or practices of those third parties, and your dealings with them are at your own risk.
10. Confidentiality
Each party may receive non-public information from the other. The receiving party will use such information only to perform under these Terms and will protect it with at least reasonable care. This does not apply to information that is public, independently developed, or required to be disclosed by law.
11. Disclaimer of warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, accuracy or non-infringement. We do not warrant that the Services will be error-free or that any recommendation will achieve a particular result.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the Services will not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Indemnification
You agree to indemnify and hold us harmless from claims, damages and reasonable costs arising from your Customer Data, your use of the Services in breach of these Terms, or your breach of any Connected Service’s terms or of applicable law.
14. Suspension & termination
We may suspend or terminate access if you materially breach these Terms, fail to pay fees when due, or use the Services in a way that risks harm to us, other customers or third parties. On termination, your right to use the Services ends. You may export Customer Data for a limited period after termination, after which we may delete it in line with our Privacy Policy.
15. Changes to the Services & Terms
We may update the Services and these Terms from time to time. If we make material changes, we will provide reasonable notice (for example by email or in-product notice). Continued use after changes take effect constitutes acceptance.
16. Governing law & disputes
These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-laws rules. The courts and enforcement offices of İstanbul (Çağlayan) shall have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rights you may have under applicable law.
17. General
These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between us regarding the Services. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Neither party is liable for delays caused by events beyond its reasonable control.
